ان استشهاد المستأنفة بقرار هو في غير موقعه القانوني السليم، لان نشاط الشركة المعنية بالقرار يختلف تمامًا عن نشاط الشركة المستأنف بوجهها، إذ هي تقوم بنفسها بإستيراد الادوية من الشركة الاردنية بموجب بيانات جمركية صادرة باسم الشركة اللبنانية ذاتها، ثم تقوم بتسويق الادوية و بيعها داخل الاراضي اللبنانية و تتقاضى من الشركة الاردنية عمولة على المبيعات يتم حسمها مباشرة في الاردن من قيمة مشتريات الشركة اللبنانية، في حين أن الشركة المستأنف بجهها لا تقوم بإستيراد منتجات الشركة الام و لا تقوم بتوزيعها داخل لبنان بسبب حظر القانون اللبناني و لا تقوم بتقاضي اية عمولة على عمليات البيع و لا تستفيد بشكل مباشر او غير مباشر من عملية البيع
