اقرت المدعي عليها بأنها لم تفصح لمجلس ادارة الصندوق و لا لمالكي الوحدات عن بيع الارض على طرف ذي علاقة، و في هذا إخلال جسيم بإلتزاماتها كمدير للصندوق مهمته حفظ و حماية حقوق ملاك الوحدات، و الافصاح لهم عن اي تضارب في المصالح، و أما تبريرها بعدم وضوح الرؤية فلا يعد مبررًا مقبولاً، حيث ان البيع قد انعقد و الاتفاقية وقعت
