ثالث عشر : لا يترتب على وفاة الشريك

ثالث عشر :
لا يترتب على وفاة الشريك حل الشركة ، ولا يكتسب ورثته صفة الشريك ، ويكون لهم – خلال عام واحد من تاريخ وفاة مورثهم – التنازل عن حصة مورثهم وفقاً لا حكام التنازل عن الحصص الواردة بالمادة التاسعة عشر من الشركات المهنية .
رابع عشر:
يترتب على حرمان أحد الشركاء من مزاولة المهنة – بقرار من السلطة المختصة – استبعاده
من الشركة ، وفي هذه الحالة يسترد نصيبه من أموال الشركة وفقاً لآخر جرد . كما لا يترتب على وقف أحد الشركاء بصفة مؤقتة عن مزاولة المهنة
يذكر الشركاء ما يرونه من الآثار المترتبة على الوقف المؤقت.
خامس عشر:
لا يجوز لأي من الشركاء أن يزاول المهنة عن غير طريق الشركة إلا بموافقة جميع الشركاء وإذا أخل أحد الشركاء بهذا الالتزام كانت الأتعاب التي حصل عليها من حق الشركة .
سادس عشر :
يتم حل الشركة بموافقة جميع الشركاء ، وتجري عندئذ تصفيتها النهائية لتوزيع حصيلة
التصفية حسب حصص كل شريك في رأس مال الشركة .
سابع عشر :
تلتزم الشركة في مزاولة المهنة بالأصول الفنية المقررة لذلك فضلاً عن مراعاة مقتضيات
المهنة وكرامتها .
ثامن عشر :
في حالة حدوث أي خلاف بين الشركاء يتعذر حله ودياً يعرض النزاع على هيئة تحكيم شرعية تشكل وفقاً لنظام التحكيم الصادر بالمرسوم الملكي الكريم (م/46) وتاريخ 12/7/1402هـولائحته التنفيذية .
تاسع عشر :
حرر هذا العقد بمدينة ( ) بالمملكة العربية السعودية من عدة نسخ تسلم
كل شريك نسخة منه للعمل بموجبه ، والنسخ الأخرى لتقديمها للإدارة العامة للشركات لقيد الشركة بسجل الشركات المهنية وقد فوض الشريك في تمام الإجراءات النظامية اللازمة لتأسيس الشركة وقيدها بسجل الشركات المهنية والتابعة لدى لجهة المختصة بهذا الشأن .
