لم يتطرق قانون الشركات الى التحديد الواضح لمفهوم ومتطلبات وشروط استقلالية أعضاء مجلس الإدارة أو البعض منهم وكذلك استقلالية أعضاء اللجان التابعة لمجلس الإدارة ( لجنة الرقابة والتدقيق المالي , ولجنة الأجور ) عدا ما أشارت إليه المادة " 119 " من القانون بشأن عدم السماح لرئيس وأعضاء مجلس الإدارة بالانتفاع من أية مصالح لهم مباشرة أو غير مباشرة في صفقات أو عقود تبرم مع الشركة إلا بعد الحصول على موافقة الهيئة العامة في الشركة والكشف عن طبيعة هذه المصالح ومداها ,
