من مهام صائغ الوثيقة القانونية الإحاطة الكاملة بكل المصطلحات القانونية و معرفته بالفروق الدقيقة بين المصطلحات لما ترتبه الأخيرة من حقوق و التزامات، نعرض اليوم لفارق بين مصطلحين شائعين هما(Agreement) و(Contract)  لقد عرف فقهاء القانون الاتفاق(Agreement) على أنه :
" توافق إرادتين أو أكثر على إنشاء التزام أو نقله أو إنهائه" فالاتفاق على إنشاء التزام مثله عقد البيع، ينشئ التزامات في جانب كل من البائع و المشتري، و الاتفاق على نقل التزام مثله الحوالة تنقل الحق أو الدين من دائن لدائن آخر أو من مدين لمدين آخر، والاتفاق على تعديل التزام مثله الاتفاق على اقتران أجل بالالتزام أو إضافة شرط له، و الاتفاق على إنهاء التزام مثله الوفاء ينتهي به الدين .
أما العقد ( ) فهو أخص من الاتفاق و قد عرفته المادة 1101 من القانون المدني الفرنسي على انه :
"توافق إرادتين عل إنشاء التزام أو على نقله" و من ذلك يتضح أن كل عقد يكون اتفاقاً، أما الاتفاق فلا يكون عقداً إلا إذا كان منشئاً لالتزام أو ناقلاً له، فإن كان يعدل الالتزام أو ينهيه فهو ليس عقداً .
فمعيار التفرقة بين المصطلحين هو( تعديل أو إنهاء الالتزام).
