8.1 أخذ أعضاء مجلس الإدارة علماً بما إحتوى عليه تعميم مؤسسة النقد العربي السعودي رقم (ت.ع.م/92/201607) وتاريخ 17/07/2016م بشأن متطلبات لائحة حوكمة شركات التأمين، والمرسل لهم في حينه بموجب البريد الإلكتروني المؤرخ في 18/07/2016م، حيث نص على وجوب تزويد مؤسسة النقد العربي السعودي بنسخة من لائحة قواعد السلوك المهني المعتمدة من مجلس الإدارة في موعد أقصاه 22/10/2016م.
8.2 أكّد أعضاء مجلس الإدارة إطلاعهم على تفاصيل مسودّة "لائحة قواعد السلوك المهني" وإقرار المسئولين عن تطبيقها (Endorsement sheet)، كما إطلع أعضاء المجلس على نسخة من توصية لجنة الترشيحات والمكافآت المؤرخة في 19/09/2016م بشأنها.
8.3 أشار الأستاذ عبدالملك الصانع إلى ما ورد في الفقرة (1.2) صفحة (3) تحت بند نطاق تطبيق هذه السياسة، حيث تم ذكر كلمة "Directors" وهي ما قد يمكن تفسيره على أنه "عضو مجلس الإدارة"، لذا ولإزالة اللبس الذي قد يحصل مستقبلاً حول مثل هذه التفسيرات فقد إقترح الدكتور يزيد العوهلي أن يتم إستبدالها بكلمة "Senior Managers" لتشمل جميع المدراء التنفيذيين، وهو المقترح الذي لاقى قبول وتأييد جميع الأعضاء الحضور.
8.4 ولمّا لم يكن لدى أي من أعضاء المجلس الحضور أي ملاحظة أو إستفسار بشأن هذه اللائحة، فقد أخذ مجلس الإدارة قراره بالموافقة عليها بعد إجراء التعديل المذكور أعلاه.
