12.1 أخذ أعضاء مجلس الإدارة علماً بما إحتوى عليه تعميم مؤسسة النقد العربي السعودي رقم (ت.ع.م/92/201607) وتاريخ 17/07/2016م بشأن متطلبات لائحة حوكمة شركات التأمين، والمرسل لهم في حينه بموجب البريد الإلكتروني المؤرخ في 18/07/2016م، حيث نص على وجوب تزويد مؤسسة النقد العربي السعودي بنسخة من اللائحة الداخلية للحوكمة في الشركة معتمدة من الجمعية العمومية في موعد أقصاه 22/10/2016م.
12.2 كما أخذ أعضاء المجلس علماً بأن لائحة حوكمة الشركة الحالية قد تمت الموافقة عليها في وقت سابق من مجلس الإدارة بموجب القرار رقم (35/2012) وتاريخ 04/02/1434هـ الموافق 17/12/2012م، وتم إعتمادها تبعاً لذلك من الجمعية العامة العادية للمساهمين السابعة المنعقدة بتاريخ 23/07/1434هـ الموافق 02/06/2013م، كما أنه يجب الآن تحديثها لتتلائم مع ما نصت أحكام لائحة حوكمة شركات التأمين الصادرة من الإدارة العامة للرقابة على شركات التأمين بمؤسسة النقد العربي السعودي بموجب التعميم رقم (ت.ع.م/74/201510) وتاريخ 09/01/1437هـ الموافق 22/10/2015م، وهي اللائحة المعتمدة سلفاً من مجلس الإدارة في إجتماعه المنعقد في يوم الإثنين 03/03/1437هـ الموافق 14/12/2015م.

12.1 Board members took note of what it contains circulating SAMA (s. I. m/92/201607) 17/07/2016 concerning the requirements of corporate governance regulations of insurance companies, timely sending by e-mail of 18/07/2016 m, where text on SAMA should be provided with a copy of the bylaws of the company's corporate governance approved by the General Assembly no later than 22 October 2016.12.2 as members of the Council took note of the list of current corporate governance were approved earlier by the Board of Directors (35/2012) dated 04/04/1434 (h) 17/12/2012, adopted accordingly from the seventh shareholders ordinary General Assembly held on 23/07/1434 (h) 02/06/2013, as he must now be updated to comply with the provisions of the corporate governance regulations of insurance companies issued by General Administration of insurance operations with SAMA under Circular (c. p. m/74/201510) dated 09/01/1437 e 22/10/2015, which is already adopted regulation of the Board of Directors at its meeting on Monday 03/03/1437 e 14/12/2015.

12.1 take board members note contained the circulation of the Saudi Arabian Monetary No. Foundation (T.a.m / 92/201607) dated 07.17.2016 regarding the list of corporate governance of insurance companies requirements, and sent them in a timely manner under the e - mail of 18 / 07/2016, where the text on the necessity to provide the Saudi Arabian Monetary Agency a copy of the internal regulations of corporate governance in the approved by the General Assembly the company no later than 10/22/2016 m.
12.2 also took members of the Council noted that the list of current corporate governance has been approved at a time former board of directors under resolution No. (35/2012) dated 04/02/1434 H corresponding to 12/17/2012 AD, and been certified accordingly by the ordinary general assembly of shareholders seventh session held on 07/23/1434 H corresponding to 06/02/2013 AD, as it must now be updated to conform with the provisions of the corporate governance Regulations issued by the General Directorate of control over the insurance companies SAMA insurers stipulated under circular No. (T.a.m / 74/201510) dated 09/01/1437 H corresponding to 22/10 / 2015, a regulation adopted in advance of the board of Directors at its meeting on Monday 03/03/1437 H corresponding to 14/12/2015 AD.
