Both Parties acknowledge that during the term of this MoU they may receive information which is proprietary and confidential to the disclosing party and which the disclosing party wishes to protect from disclosure, publication and dissemination. "Proprietary Information" as used herein shall mean (i) all information disclosed at any time between the Parties with respect to the subject matter hereof; (ii) all information about Intellectual Property Rights and know how of each Party; and (iii) all information relating to each Party's respective products, business strategies, customers, marketing and sales plans, financial information and product development plans.
