الباب الثالث
العضوية ــ شروط الإنضمام ــ رسما الإشتراك والإنضمام
المادة الخامسة : العضوية العاملة :
العضو العامل " موزع "
لكل مؤسسة عريية تباشر عملية توزيع الصحف والمجلات العربية والأجنبية داخل الوطن العربى أو لكل مؤسسة أجنبية تباشر توزيع المطبوعات العربية كنشاط أساسى يمثل غالبية أعمالها التوزيعية ، حق الإنضمام لعضوية الإتحاد بصفة عضو عامل " موزع " .
العضو العامل " ناشر "
لكل مؤسسة صحفية عربية تنشر صحف أو مجلات داخل أو خارج الوطن العربى وبصفة منتظمة حق الإنضمام لعضوية الإتحاد بصفة عضو عامل " ناشر " على كل مؤسسة عضو فى الإتحاد إبلاغ مجلس الإدارة بإسم من يمثلها سواء فى الجمعية العمومية أو مجلس الإدارة .

المادة السادسة :
جميع الأعضاء العاملين ( موزعين وناشرين ) لهم الحق فى الترشيح والتصويت مع الأخذ فى الإعتبار : -
ــ أن يكون التمثيل النسبى للأعضاء العاملين الناشرين بمجلس الإدارة منسوباً لعددية عضويتهم إلى إجمالى العضوية العاملة على أن لا يتجاوز تمثيلهم العددى بمجلس الإدارة عن ثلث أعضاء المجلس .
ــ أن يراعي الإبقاء على صفة العضوية القائمة كما هى دون تعديل إلا بناءاً على رغبة العضو مع التقدم
بالمستندات المطلوبة .

المادة السابعة : العضو المشارك :
لكل مؤسسة عربية أو أجنبية ذات صلة مباشرة بتوزيع أو نشر المطبوعات العربية فى أى مكان أو المطبوعات الأجنبية فى البلدان العربية حق الإنضمام لعضوية الإتحاد بصفة عضو مشارك دون أن يكون له الحق فى التصويت والترشيح .

المادة الثامنة : العضوية الفخرية :
بناءاً على إقتراح من مجلس الإدارة يحق للجمعية العمومية أن تمنح وبصفة شخصية شرف العضوية الفخرية لمن أدى خدمة قيمة للإتحاد ويتم ذلك بموافقة ثلثى أعضاء الجمعية العمومية الحاضرين فى الدورة المعروض عليها الإقتراح ويتم ذلك بالتصويت السرى .
على ألا تخول هذه العضوية صاحبها حق التصويت أو الترشيح لأى منصب من مناصب الإتحاد . ويجوز للعضو الفخرى تقديم الأبحاث أو الإقتراحات المتعلقة بشئون المهنة ، وحضور اجتماعات الجمعية العمومية ، واجتماعات مجلس الإدارة ، للاستفادة من خبراتهم وتجاربهم الطويلة منذ نشأة الإتحاد .

المادة التاسعة : الإنضمام :
يتقدم طالب الإنضمام للإتحاد بطلب خطى إلى مجلس الإدارة موقع من مدير المؤسسة المسؤول ترفق به شهادة تسجيل رسمية من المرجع المختص بالبلد الذى ينتسب إليه توضح صفة المؤسسة وتاريخ قيدها فى المرجع الرسمى ، ويجب أن يشفع هذا الطلب بتزكية عضوين عاملين من قطرين عربيين يعمل معهما.
يقوم مكتب مجلس الإدارة بدراسة الطلب من الناحية القانونية ويرفعه إلى مجلس الإدارة فى أقرب إجتماع له للبت فيه قبولاْ أو رفضاْ .
ويحق لطالب الإنضمام الذى رفض طلبه الطعن فى هذا القرار أمام الجمعية العمومية بواسطة كتاب يقدم إلى مجلس الإدارة وفى هذه الحالة يتحتم على مجلس الإدارة إدراج الطعن أمام أول جمعية عمومية تعقد بعد إستلام هذا الكتاب .

المادة العاشرة : شروط الإنضمام ــ " العضو العامل موزع وناشر "
يشترط لقبول طلب الإنضمام إلى الإتحاد توافر العناصر التالية :
أ ــ ممارسة المهنة لفترة لا تقل عن سنتين .
ب ــ تقديم المستندات التى تثبت ممارسة المهنة ومنها القيد الحكومى والعلاقات مع المؤسسات العربية المماثلة .
جـ ــ بالنسبة للشركات الأجنبية ( غير العربية خارج الوطن العربى ) لابد أن تثبت بالمستندات والبراهين أن الغالبية العظمى من نشاطها هو مطبوعات عربية .
د ــ تسديد رسمى الإنضمام والإشتراك السنوى .

المادة الحادية عشرة : رسما الإنضمام والإشتراك السنوى :
تحدد الجمعية العمومية العادية مقدار رسمى الإنضمام والإشتراك السنوى ولها أن تستبقيه أو تعدله . ويتولى مكتب مجلس الإدارة مطالبة الأعضاء بدفع الإشتراك السنوى بالحساب الذى يعينه مجلس الإدارة وذلك خلال الشهر الأول من كل سنة مالية .
ولا يحق للعضو الذى لم يسدد الرسوم المستحقة عليه حضور أى اجتماع من اجتماعات الجمعية العمومية للإتحاد أو التفويض وتسقط عضويته بعدم سداد الإشتراك لعامين متتاليين .

الباب الرابـــع
حقوق والتزامات الأعضاء ــ سقوط العضوية
المادة الثانية عشرة : حقوق الأعضاء :
الأعضاء جميعاً متساوون فى جميع الحقوق وفقاً لأحكام هذا النظام ولهم الحق فى الإشتراك بكافة أنشطة الإتحاد والتمتع بحقوق العضوية وامتيازاتها ، كما يحق لكل عضو أن يطلب من الإتحاد القيام بأعمال تدخل فى حدود أهدافه أو إرشادات ونصائح حول مسائل أو مشاكل تدخل فى نطاق اختصاصاته .

المادة الثالثة عشرة : التزامات الأعضاء :
ــ يتعهد كل عضو بقبول وتنفيذ أحكام هذا النظام والإلتزام بميثاق الشرف ولائحة الجزاءات وكذلك جميع القرارات التى تصدر عن الإتحاد ضمن الإجراءات القانونية المتبعة .
ــ يتعهد كل عضو بدفع رسم الإشتراك الذى تحدده الجمعية العمومية .
ــ يتعهد كل عضو بإعلام مجلس الإدارة بكل التطورات الجوهرية التى تطرأ والتى لها علاقة بمجال عمله
ــ يلتزم أعضاء الإتحاد بتوثيق روابط العمل بينهم ، وذلك بالنسبة لحصر التعامل مع بعضهم البعض . وتوحيد مواقفهم بالنسبة للقضايا التى تجابه تجويد التوزيع وتطويره ، والتعاون على تحصيل حقوقهم على أن لا يتعارض ذلك مع أهداف الإتحاد ومصالحه .

المادة الرابعة عشرة : سقوط العضوية :
تسقط العضوية بقرار من الجمعية العمومية بطلب من مجلس الإدارة طبقاً لنصوص هذا النظام ويكون مشفوعاً بكافة المستندات الثبوتيه فى أحدى الحالات التالية :
1 ــ الاستقالة من الإتحاد بموجب خطاب مسجل يرسل لمكتب مجلس الإدارة قبل موعد إنعقاد الجمعية العمومية بأسبوع على الأقل .
2 ــ مخالفة أنظمة الإتحاد وقرارات الجمعية العمومية ومجلس الإدارة وميثاق الشرف .
3 ــ الإفلاس التجارى القانونى .
4 ــ التوقف عن ممارسة مهنة التوزيع بصورة نهائيه .
5 ــ الإتجار اليقينى فى المطبوعات المزورة .
6 ــ ثبوت عدم صحة البيانات التى تقدم بها العضو عند الإنضمام للإتحاد .
7 ــ عدم تسديد الإشتراك طبقاً للمادة الحادية عشر .
8 ــ عدم تنفيذ قرار لجنة التحكيم كما ورد فى المادة 37 .
وللعضو الذى طلب إسقاط عضويته بسبب غير الاستقالة حق التظلم أمام الجمعية العمومية فى أول إجتماع لها يلى تاريخ إخطاره بقرار مجلس الإدارة ويكون قرار الجمعية نهائيا فى هذا الشأن .

الباب الخامس
هيئات الإتحاد ــ مهامها ــ صلاحياتها
المادة الخامسة عشرة : هيئات الإتحاد :
يتكون الإتحاد من :
أولا : الجمعية العمومية
ثانيا : مجلس الإدارة .
ثالثا : رئيس مجلس الإدارة
رابعا : مكتب مجلس الإدارة .

يباشر الإتحاد مهامه وفق الأسس المحددة فى هذا ا
