3.1 إطلع أعضاء مجلس الإدارة على ما سبق للمجلس إقراره في إجتماعات سابقة بشأن حاجة الشركة لتعيين رئيس مالي (CFO)، والتي كان آخرها قرار مجلس الإدارة في إجتماعه الماضي رقم (103/2016) بتاريخ 08/09/1437هـ الموافق 13/06/2016م والذي نص على إيعاز المجلس إلى الإدارة التنفيذية بإستكمال عملية البحث عن مرشحين مناسبين على هذه الوظيفة وعرض التوصية على لجنة الترشيحات والمكافآت للموافقة عليها قبل التعيين.
3.2 بعدها، وبناءاً على طلب رئيس مجلس الإدارة الشيخ صالح الصقري، تمت دعوة الرئيس التتنفيذي للشركة الأستاذ محمد الشايع لحضور هذا الإجتماع، حيث أفاد بأنه فيما يتعلق بوظيفة رئيس الشئون المالية فقد تمت مقابلة عدد (6) مرشحين بشكل دقيق وإجراء تقييم كامل لكل منهم لتحديد الأنسب لشغل هذه الوظيفة، بعدها تمت إحالة جميع هؤلاء المرشحين للجنة الترشيحات والمكافآت لتتمكن من إتخاذ القرار المناسب ومن ثم رفع توصيتها لمجلس الإدارة. أما فيما يتعلق بوظيفة رئيس الموارد البشرية والشئون الإدارية فقد أفاد الأستاذ محمد الشايع بأن المدير الحالي للإدارة الأستاذ خالد القزلان قد تقدم منذ وقت سابق بخطاب يفيد فيه عدم رغبته تجديد عقده المنتهي في 20 أكتوبر القادم، وبالتالي فإن الشركة قد قامت بتعيين الدكتور جمعه حامد العنزي كمستشار للشئون المالية والإدارية منذ تاريخ 24 إبريل 2016م، وقد تم تقديمه بعد أن أثبت كفاءته للجنة الترشيحات والمكافآت ليكون مرشحاً على هذا المنصب.
3.3 أكّد أعضاء مجلس الإدارة إطلاعهم على السيرة الذاتية للأستاذ حمّاد رضا خان، المرشح من قبل لجنة الترشيحات والمكافآت لوظيفة رئيس الشئون المالية (CFO)، والسيرة الذاتية للدكتور جمعه حامد العنزي، المرشح لوظيفة رئيس الموارد البشرية والشئون الإدارية (CHRO)، والمرسلة لهم قبل عقد هذا الإجتماع بوقت كاف، بالإضافة إلى نماذج تقييم الملائمة ونسخة من توصية لجنة الترشيحات والمكافآت المؤرخة في 17/08/2016م بهذا الشأن.
3.4 إستفسر الأستاذ عبدالملك الصانع عن الشخص الذي رشح الأستاذ حمّاد خان بإعتبار أهمية الدور المناط به في هذا المنصب، فأفاد الأستاذ لطفي الزين بأن ذلك قد تم بواسطة ومعرفة الأستاذ شاهين أمين الذي أثنى على كفاءته وشخصيته وملائمته لمتطلبات هذا الوظيفة، وهو أيضاً ما أكّده كلاً من الأستاذ لطفي الزين والأستاذ محمد الزين والأستاذ محمد الشايع من خلال مقابلتهم الشخصية له.

3.1 briefed Board members on the Council have already adopted at previous meetings on the need for the company to appoint the President of Mali (CFO), the latest of which was decision of the last meeting of the Governing Council (103/2016) on 08/09/1437 e 13/01/2016 m the Executive Management Council directive completing the search for suitable candidates for this job and view the recommendation on the nomination and remuneration Committee for approval before appointment.3.2, and at the request of Chairman Sheikh Saleh Al-saqri, was to invite President Mohammed alshaya company remarks to attend this meeting, where he stated that regarding the function of CFO was interview number (6) candidates accurately and fully evaluate all of them to determine the best suited for a job, then was that all these candidates for nomination and remuneration Committee to take the appropriate decision and then raised its recommendation to Governing Council. As for the post of Chief human resources and Administrative Affairs Mohammed alshaya reported that current management Director Professor Khaled alkslan has progressed since earlier a letter indicating his unwillingness to renew ending 20 October, so the company has appointed Dr Juma Hamed Al-ANZI as counsel for financial and administrative affairs since 24 April 2016 m, has been presented to prove his quality of nomination and remuneration Committee to be a candidate for this post.3.3 the Board members informed of the CV Hammad Raza Khan, nominated by the nomination and remuneration Committee for the post of Chief of Finance (CFO), biography by Dr Juma Hamed Al-ANZI, the candidate for the post of Chief human resources and Administrative Affairs (CHRO), and sent them by holding this meeting, plus appropriate appraisal forms and a copy of the nomination and remuneration Committee's recommendation of 17/08/2016 m.3.4 the Professor queried Abdulmalik manufacturer who nominated Professor Hammad Khan, considering the importance of the role assigned to it in this post, the professor said Lotfi El Zein that this was by knowing the Professor Shaheen Ameen who praised the competence and character vectors to the requirements of this job, is also confirmed by both Professor Lotfi Zein and Professor Muhammad Zein and Professor Mohammad alshaya by personal interview.

3.1 briefed board members on the above , the Council approved at previous meetings on the company 's need for the appointment of the President of Mali (CFO), the latest of which was the board 's decision in the last meeting No. (103/2016) dated 08/09/1437 H corresponding to 06/13/2016 AD and that the text of the directive of the Council to the executive management completed an the search for suitable candidates on this post and display the recommendation of the nomination and remuneration Committee for approval before appointment.
3.2 thereafter, and at the request of Chairman Sheikh Saleh hawkish, has invited Altaatnive President of the company Mr. Mohammed Alshaya to attend this meeting, where he said that with regard to the function of CFO has interviewed a number (6) candidates accurately and fully evaluate each of them to determine the most suitable to fill the post, then has to refer all these candidates for the Nomination and remuneration Committee to be able to make the right decision and then raise its recommendation to the board of Directors. With respect to the function of Head of Human Resources and Administration has Mr. Mohammed Alshaya said that the current director of the Department of Professor Khalid Aelkezlan has progressed since the earlier letter stating it did not wish to renew his contract ended on October 20 next, so the company has appointed Dr. Juma Hamid Anzi as a consultant financial and administrative affairs since the date of April 24 , 2016, has been submitted after the proven efficiency of the Nomination and remuneration Committee to be a candidate for this position.
3.3 the members of the board of Directors inform them of the biography of Professor Hammad Raza Khan, nominated by the Nomination and remuneration Committee for the post of chairman of the financial Affairs ( CFO), and Biography of Dr. Juma Hamid Anzi, a candidate for the post of Head of human resources and Administration (CHRO), and sent them before this meeting well in advance, as well as to the appropriate valuation models and a copy of the recommendation of the Nomination and remuneration Committee dated 17/08/2016 AD in this regard .
3.4 inquired Mr. Abdulmalik manufacturer about the person who nominated Mr. Hammad Khan , considering the importance of its role in the post, and he said Mr. Lutfi Zein that this has been by and see Mr. Shaheen Amin , who praised the efficiency and personality and suitability to the requirements of this position, which is also confirmed by both Professor Lotfi Zein and Mohamed Zein, Mr. Mohammed Alshaya through personal interviewed him.
